Legal Notice and General Terms and Conditions of Sale (GTC) - YANAA

These General Terms and Conditions of Sale (the “GTC”) define the terms under which YANAA products are sold via the website yanaa.food and constitute the sole contractual basis governing the relationship between the company ENTROPY (hereinafter “Entropy”) and its customers (hereinafter the “Customer”).
1. Legal information
Website publisher: ENTROPY, a simplified joint-stock company (SAS) with share capital of €51,200, registered with the Annecy Trade and Companies Register under number 922 112 628, with its registered office at 8 Rue Sainte Claire, 74000 Annecy, France.

2. Scope of application
These GTC apply to all sales of YANAA products via the website.
Customer categories:

Consumers (B2C): purchases for personal use via the website.

Professionals (B2B): purchases for resale, either:

Via the website: limited to retail stores, under the same conditions as consumers, except that the right of withdrawal is restricted to cases of defects or non-conformity.

Directly with Entropy: under a specific negotiated contract. In this case, the website GTC do not apply; only the agreed contractual clauses govern the relationship.

Any order implies full and unconditional acceptance of these GTC.
3. Product description

The essential characteristics of each product (composition, format, quantity, ingredients, nutritional information) are presented on the website and are updated regularly.
Product visuals (photos, packaging) are provided for illustrative purposes and may evolve over time, particularly in the case of graphic changes or packaging improvements, without altering the essential characteristics of the product.
Entropy undertakes to ensure that the descriptions available at the time of ordering correspond to the product actually delivered and comply with applicable French regulations.
If in doubt, the customer may contact customer service before confirming their order.
4. Customer account creation
Customers may create a free account in order to track their orders. The account is personal and protected by a password, the confidentiality of which is the Customer’s responsibility. Any order placed via the account is deemed to have been placed by the account holder.
5. Orders and payment

No instalment or deferred payment options are offered

The order becomes final and irrevocable once payment is validated
6. Order confirmation and tracking

The sale is deemed final upon receipt of full payment and dispatch of the order confirmation email

The Customer is notified of shipment and must check the conformity of the order upon receipt
7. Prices and financial terms

Prices are displayed in euros, inclusive of all taxes (VAT applied in accordance with French law)

Delivery costs, packaging and optional services are charged in addition and borne by the Customer

Entropy reserves the right to modify prices at any time, but products are invoiced based on the prices in force at the time of order validation

Late payment: interest at three times the legal rate plus a fixed recovery fee of €40
8. Delivery, returns and timeframes

Delivery takes place after receipt of payment, to the address provided by the Customer

Delivery times are indicative and non-contractual

Delay exceeding 20 days:

B2C: right to request cancellation of the sale

B2B: subject to a specific agreement

Returns:

B2C: 14-day right of withdrawal. Products must be returned in original packaging; refund issued within 14 days

B2B via website: returns accepted only in the event of defects or non-conformity

B2B direct: as defined in the specific contract
9. Product availability

Prior to ordering: unavailable products are clearly indicated as such

After ordering: in the event of unavailability, partial delivery or issuance of a credit voucher may be offered
10. Special offers

Promotions are displayed with the applicable percentage reduction

Promotional products may be combined with non-promotional products, under the same payment and delivery conditions
11. Right of withdrawal

B2C: 14 days from receipt of the products, without justification; return costs borne by the Customer unless the product is defective

B2B: right of withdrawal limited to cases of defects or non-conformity
12. Statutory warranties

Hidden defects: 2 years from discovery

Conformity:

2 years for physical products

1 to 2 years for digital content or services, depending on the nature of supply

Remedies include refund, replacement or repair, in accordance with applicable legal provisions.
13. Intellectual property
All content and products are protected by copyright and trademark law.
The Customer is granted a personal, non-transferable licence for use.
Any reproduction, distribution, modification or creation of derivative works without prior written consent is strictly prohibited.
14. Ownership and transfer of risk

Retention of title: ownership transfers only after full payment has been received

Transfer of risk: upon handover to the carrier or collection by the Customer
15. Liability
Entropy’s liability is limited to direct damages resulting from a proven breach of its obligations.
Indirect, financial or non-material losses are excluded.
16. Customer obligations

Use of the website and products in compliance with the law and accepted practices

Return of products in their original condition where applicable
-
Warranty that any content provided by the Customer complies with applicable laws and third-party rights
17. Term and termination
The contract takes effect upon acceptance of the GTC and remains valid until full delivery of the order.
Termination:

B2C / B2B via website: account deletion by the Customer

B2B direct: in accordance with the specific contract

19. Disputes and applicable law

B2C: the Customer may refer the matter to an e-commerce mediation service
-
B2B: amicable resolution will be sought prior to referral to the courts of the registered office of Entropy
Applicable law: French law.
20. Acceptance
Any order implies acceptance of these GTC.
If any clause is deemed invalid, it shall be replaced by an equivalent provision that preserves the economic intent of the original clause.
21. Consumer mediation
In accordance with Articles L612-1 et seq. of the Consumer Code, consumers may seek the assistance of a consumer mediator free of charge with a view to reaching an amicable settlement of a dispute.
